This online version of our Terms of Engagement is provided for reference by clients and partners, including those accessing Admin Army services through integrated or white label arrangements. By continuing to engage Admin Army or use our services—either directly or through a third party—you acknowledge that you have reviewed and accepted the following Terms of Engagement. These Terms of Engagement apply to all services provided by Admin Army Australia Pty Ltd (ABN 79677069055) (“Admin Army”, “we”, “our”) to the client named in the corresponding Engagement Letter (“you”, “your”). They form part of the contract between us.
1. Definitions and Interpretation
- Agreement: The Engagement Letter, the TASA Disclosure Statement, and these Terms of Engagement.
- Services: The services described in the Engagement Letter and any additional services agreed in writing, which may include bookkeeping, payroll, BAS supervision, and software or advisory support.
- TPB: The Tax Practitioners Board.
- TASA: Tax Agent Services Act 2009 (Cth).
- Streamline Business Group: The parent entity of Admin Army.
2. Professional Standards and Compliance
All payroll processing and BAS-related activities are carried out by Admin Army under the direct supervision of a registered BAS Agent (Leanne Berry, from Love Your Numbers, registered agent number 24601523). Admin Army is responsible for ensuring that payroll and BAS services are compliant with Australian tax law and the Tax Practitioners Board (TPB) Code of Professional Conduct.
Admin Army Australia Pty Ltd is not a registered BAS Agent. These services are delivered in line with TPB requirements for supervised entities.
Admin Army adheres to the Tax Practitioners Board Code of Professional Conduct, as outlined in the Tax Agent Services Act 2009 (TASA). A summary of your rights under this Code is available at www.tpb.gov.au/code.
If, during the course of our work, we identify non-compliance or a potential breach of tax, employment, or industrial relations law, including obligations under the Fair Work Act 2009 (Cth), as amended by the Closing Loopholes legislation (2023-2024), we will raise the issue with you and provide an opportunity for rectification. If unresolved within a reasonable timeframe, and reporting is required under law or TPB guidance, we reserve the right to notify the relevant authority. Immediate reporting may occur where required by law.
3. Subcontracting
We may deliver services using team members engaged via our parent company, Streamline Business Group. We will not engage external subcontractors unless agreed in writing. Any supervising BAS Agent will be disclosed to you in advance. All personnel operate under our supervision in line with TPB requirements.
4. Confidentiality, Privacy and Data Security
We treat all client information as confidential except where disclosure is required by law or professional standards. Our data handling is governed by Admin Army’s SOPs and ISO27001-aligned practices. All team members, including offshore staff in Australia, New Zealand, Fiji, and India, are bound by confidentiality agreements.
Admin Army complies with the Australian Privacy Act 1988 and the Notifiable Data Breaches (NDB) Scheme. A summary of our privacy and data breach response policy is available upon request. We apply secure data storage, restricted access, regular security audits, and encryption to protect your data.
5. Communication and Availability
Our business hours are 9am–5pm AEST (Queensland time). We are not required to respond to communications outside of these hours unless previously agreed. Delays may occur during public holidays or peak internal periods; we will provide notice where possible.
6. Fees and Payment
Payment terms are 7 days from the date of invoice. Late payments incur a fee of 3.5% per month. We reserve the right to suspend services or recover debts (including legal and collection costs) for overdue accounts. Clients may dispute invoices within 7 days of issue by written notice.
7. Direct Hire and Team Poaching
If you directly engage or employ a current or former Admin Army team member within 6 months of their role ending, a recruitment recovery fee of AUD $8,000 (plus GST) may apply. This reflects training, hiring, and transition costs. This amount may be waived or reduced at our discretion where no costs have been incurred. All exceptions must be agreed in writing.
8. Our Obligations and Warranties
We confirm that we have a formal supervisory agreement in place with our supervising BAS Agent (Leanne Berry). This agreement governs the oversight of all BAS services delivered by Admin Army.
We will obtain written or digital authority from you for each ATO lodgement or declaration (including BAS, STP Finalisation, and SGC). Lodgements will not be submitted without your approval unless a standing written authority has been documented. We will also obtain written or digital authority from you for each pay run processed before it is finalised.
These Terms of Engagement will be reviewed annually, or more frequently if required by law or changes in professional standards. A specific update will occur following finalisation of our Quality Management System (QMS) on 30 June 2025. This adjustment is required by the TPB and will be assumed as accepted for service continuation. Written confirmation will be provided once the update is in place.
9. Your Obligations
You are responsible for retaining complete business records and source documentation in accordance with ATO and TPB requirements. While we may review or process information, ultimate responsibility for compliance and documentation rests with you.
10. Limitation of Liability
We are not liable for:
- Losses arising from incomplete or inaccurate information provided by you;
- Failures of third-party platforms or systems;
- Delays due to your non-response;
- Consequential or indirect losses.
Our liability is capped at the total fees paid by you in the 3 months preceding the incident, subject to consumer protections and applicable law.
11. Force Majeure
We are not responsible for delays or failures caused by events beyond our control, including natural disasters, cyber incidents, legislative changes, or system outages.
12. Intellectual Property
Templates, documents, and workflows we create remain our intellectual property. You receive a non-exclusive, non-transferable licence to use them internally for your business only.
13. Dispute Resolution
If a dispute arises:
- Raise the issue with your Admin Army contact.
- If unresolved, escalate to hello@adminarmy.com.
- We will formally respond within 10 business days.
- If unresolved, either party may refer the matter to mediation with a mutually agreed mediator.
- If mediation fails, legal remedies may be pursued in court.
This Agreement is governed by the laws of Western Australia, Australia.
14. Changes to Terms
We may update these Terms with 30 days’ written notice. Continued service delivery is conditional upon your written acceptance of the revised Terms (email confirmation is sufficient). Material changes to fees, obligations, or scope will not take effect without your explicit agreement.
15. Termination
Either party may terminate this Agreement with 30 days’ written notice. We may terminate immediately for serious misconduct, unlawful conduct, or repeated non-compliance. All work completed to the termination date will be invoiced and payable.
16. Breach and Escalation Protocol
If we become aware of breaches of law or professional standards, we may be required to report the matter to appropriate regulatory bodies (e.g. ATO, TPB, Fair Work). Where possible, we will notify you first and allow rectification unless immediate reporting is legally required.
17. Fair Use Policy
We aim to maintain respectful, sustainable service relationships. Our Fair Use Policy sets boundaries around excessive, unreasonable, or outside-scope requests, including after-hours messaging, urgent non-critical tasks, or repeat requests without required inputs. We may flag recurring issues and discuss adjustments or scope changes as needed.
18. Client Acknowledgement
By signing this Agreement or continuing to use our services, you confirm that you have read and understood these Terms of Engagement, including your obligations under Australian tax law and the services to be delivered. You acknowledge that you have received or will receive our TASA Disclosure Statement and understand your rights as a client under TPB regulations.
Annex A – TASA Disclosure Statement
Admin Army Australia Pty Ltd is not a registered BAS Agent. We deliver BAS and payroll services under the supervision of Leanne Berry (Love Your Numbers, BAS Agent Number 24601523).
Leanne Berry is a registered BAS Agent under the Tax Agent Services Act 2009 and provides direct supervisory oversight of our BAS and payroll operations.
Your BAS and payroll services will be performed by Admin Army team members, with all BAS-related work reviewed and lodged under the authority of our supervising agent, as required by the Tax Practitioners Board (TPB).
You have the right to:
- Ask questions about who is performing your services and under what authority.
- Request a copy of our supervision agreement.
- Lodge a complaint with the TPB at www.tpb.gov.au if you believe our conduct breaches the Code of Professional Conduct.
